Texin Portal Terms of Service

The short version. Core is $99/month plus add-ons and tax. Card-required 14-day trial; cancel before it ends to pay nothing. No source data means no trial charge. Paid service renews monthly until cancelled online. Your data stays yours; no sale or model training. Staff deletion follows Section 13's 30-day window. Section 12 limits liability. The numbered Terms control.

These Terms cover Portal and its connector, between TexIN Commerce LLC, a Texas LLC doing business as Texin.ai ("Texin," "we"), and your business ("you").

1. Business accounts

You must be 18 or older and authorized to bind a U.S. business; no household use. Portal serves the U.S. Amazon marketplace. Protect separate user accounts, report misuse and take responsibility for authorized users/brands.

2. Portal and your AI client

Core connects Amazon Seller Central, Vendor Central and Amazon Ads for one eligible Amazon account: one business's Seller Central and/or Vendor Central account plus its Amazon Ads account, with every brand inside included. Google Ads, GA4 and Search Console are add-ons; ChatGPT Ads is not sold. History/refreshes depend on availability and successful imports.

Portal returns your own data from each connected source, figures calculated from it, your saved context and your tracking results to your AI client, such as Claude/ChatGPT, under your separate agreement/subscription. Portal receives tool requests, not your full conversation, and sends no platform credentials. Texin's server-side models do not analyze self-service connected data. Choose non-training AI settings; revocation does not erase received copies.

Tracking covers Amazon keyword rank, Google organic/local/AI Overview results and ChatGPT answers. Providers receive submitted inputs/settings, not source records; exclude confidential/personal data and credentials. Verify important numbers; you bear pricing, inventory and ad-spend decisions. Beta features may end. Platform changes/spending require your specific instructions, regardless of permission scope.

3. Free trial

One 14-day trial per business starts at completed checkout. We determine eligibility. Card required. Checkout shows your selected monthly total and exact trial end. Unless you cancel before that time, your card is charged that total plus applicable tax, then monthly until cancelled. We email a reminder seven days before the first charge.

If no connected source delivers data during the trial, it ends without a charge or paid subscription. Connecting or queuing an import is not delivery; any actual source delivery qualifies, even if history is incomplete. If we charge despite no source delivering data during the trial, we refund that charge. An ineligible business or later paid start requires fresh, explicit pay-now consent.

Trial checkout uses this consent:

I authorize Texin to charge the monthly total shown above, plus applicable tax, at the trial end shown above and every month after until I cancel online in Billing. I can cancel before the trial ends to pay nothing. If no connected source delivers data during the trial, it ends without a charge. I agree to the Terms of Service, including the Data Processing Addendum, and have read the Privacy Policy. I am authorized to act for this business.

4. Monthly prices and renewal

Prices are U.S. dollars plus tax. Core: $99/month, one Amazon account (every brand sold in that one account) and one user and 150 monthly tracking credits. Extra Amazon accounts: $49/month each (another business or a client's account); extra users: $19/month each. Per Amazon account, Google sources: $19/month each or $29/month for all three. Add-ons renew with Core. Monthly only at launch.

Your subscription renews automatically each month at the disclosed price until you cancel online in Billing. Stripe handles payments. Confirm disclosed charges/proration/renewals on Portal or Stripe, including AI-client proposals. Owners authorize seats; removal ends access and future charges. Failed payments may be retried; suspension follows notice.

Paid-start checkout uses this billing consent, followed by the contract consent in Section 3:

We email owners at least 30 days before price increases at renewal; cancel online beforehand to avoid them. Express assent and annual reminders apply where required. You pay taxes other than Texin's income taxes.

5. Tracking credits

One credit checks one item once; separate types/locations are separate items. Daily items use 28 to 31 credits per calendar month. Saved-data questions use no tracking credits. Included credits are used first and do not roll over.

Packs: $79/500 credits or $199/2,000, plus tax, charged once. Purchased credits carry over month to month while your subscription is active. They expire when your subscription ends. Credits are nontransferable, have no cash value and are nonrefundable except as these Terms or law require. Packs require paid service and no pending cancellation. We restore credits consumed by our failed checks.

6. Your data and platform rules

Customer Data (connected business data and submitted content) remains yours, subject to platform rights. You authorize processing only for service/security/support and legal/platform duties. Obtain necessary rights/consents, including brand authority and AI disclosure.

No Customer Data sale, disclosure of your data to another customer, advertising use or model training. Appointed processors cannot train on it. We may create and publish aggregated, de-identified statistics, including benchmarks, that cannot identify any customer, workspace, brand, product, account or person, built from our own market and tracking data, Portal usage records (never question text or returned business data) and other Customer Data only where the source platform's terms allow. Amazon and Google source data is excluded unless that platform permits it in writing. Permitted recipients follow the Privacy Policy and incorporated DPA.

Amazon SP-API/Ads/Brand Analytics and Google rules apply; no cross-workspace use, resale, aggregation, training or public release beyond the aggregated statistics above. We may suspend/delete/provide required compliance information. Exclude sensitive data and credentials; Portal requests neither buyer contact details nor Restricted Data Tokens.

7. Acceptable use

Do not violate law/platform terms, market to buyers, manipulate reviews, share logins, evade controls, access others' workspaces, introduce malware, interfere or reverse engineer except where legally permitted. Security testing requires written permission. We may impose reasonable usage limits to protect service/platform access.

8. Third parties and service changes

Texin does not control or accept responsibility for source, payment, AI, hosting or tracking providers' outages, errors, policy changes or output. We may change/stop affected features; if a paid source is removed, cancel it for an unused-month refund. Texin is independent of these providers.

9. Texin property

Texin owns Portal; users receive limited business-use rights during access. Feedback use excludes confidential data; analytics exclude question text and returned data. Public name/logo use requires permission.

10. Confidentiality and security

Each party protects confidential information with reasonable care and restricted access/use. Public, previously known, independently developed or rightfully received information is excluded. Required disclosure is limited, with notice where allowed. Protection continues while confidential; the DPA governs security/incidents.

11. Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, PORTAL, DATA, CALCULATIONS, TRACKING AND OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF MERCHANTABILITY, FITNESS, TITLE OR NON-INFRINGEMENT. NO ACCURACY, AVAILABILITY, BUSINESS RESULT OR PROFESSIONAL ADVICE IS GUARANTEED. EXPRESS OBLIGATIONS AND NONWAIVABLE RIGHTS REMAIN.

12. Liability limits

TO THE FULLEST EXTENT PERMITTED BY LAW, TEXIN IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, SALES, AD SPEND, DATA OR GOODWILL, OR ACTIONS A PLATFORM TAKES ON YOUR ACCOUNTS, EVEN IF ADVISED THEY WERE POSSIBLE.

TEXIN'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO PORTAL, THESE TERMS AND THE DPA, IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, IS LIMITED TO THE GREATER OF $100 OR FEES YOU PAID TEXIN FOR PORTAL IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE FIRST CLAIM. The cap does not stack across claims or documents.

These limits do not limit your payment obligations, your breach of Sections 6 or 7, your Section 14 indemnity, or liability that law does not allow to be limited. They reflect the service price.

13. Cancellation, access and deletion

Cancel online anytime in Portal > Billing > Cancel subscription. Renewal stops; access continues through the current paid period or trial end. We confirm cancellation on screen and by email. No partial-month refunds apply to voluntary cancellation; express refunds here, billing errors and mandatory legal remedies remain. If Billing is unavailable, email before the deadline; we honor the request's receipt time.

Revoke source access in the Amazon/Google account where approved and notify support@texin.ai; billing cancellation is separate. Collection stops at service end or loss of authorization. We may suspend for threats, prohibited use, nonpayment or legal/platform requirements; terminate material breaches; or end service on 30 days' notice with unused prepaid subscription fees refunded.

Texin staff delete connected-source data, source tokens and saved workspace content within 30 days after the earliest applicable subscription/trial end, source-access revocation or deletion request. Revocation applies to the affected source; a request or service end covers the workspace. An earlier binding platform/legal trigger or shorter deadline controls. Notify us promptly; later notice does not restart the clock. Cancellation or revocation does not erase data instantly. There is no automatic-erasure feature at launch.

Owners may request a common-format copy at support@texin.ai while data remains, within the same 30-day exit/revocation window. Request promptly: deletion may occur sooner; export never extends retention. Necessary legal/billing/consent/security records follow the Privacy Policy. AI providers control received copies. Data restrictions, deletion, confidentiality, payment, indemnity and disputes survive as needed.

14. Third-party claims

You will defend Texin against third-party claims, including claims by platforms, client brands or invited users, arising from data you connected without authority, your breach of Sections 6 or 7, or your use of Portal output, and pay reasonable defense costs, approved settlements and final awards to the extent legally permitted. We give prompt notice, reasonable cooperation and defense control; no settlement may admit fault for or bind Texin without consent.

If Portal is claimed to infringe rights, we may modify it, obtain a license or end the affected service and refund unused prepaid subscription fees. This is your exclusive contractual infringement remedy, subject to mandatory law. Texin has no duty to defend or indemnify customers for IP claims.

15. Texas law and disputes

Texas law governs without conflict-of-law rules. Disputes go exclusively to Travis County, Texas state courts or the U.S. District Court for the Western District of Texas, Austin Division. Give written notice and try to resolve the claim for 30 days before filing; urgent relief and deadline-preserving filings need not wait.

EACH PARTY KNOWINGLY AND VOLUNTARILY WAIVES ANY RIGHT TO A JURY TRIAL. TO THE EXTENT LAW PERMITS, CLAIMS MUST BE BROUGHT INDIVIDUALLY, NOT AS CLASS OR REPRESENTATIVE ACTIONS, AND FILED WITHIN TWO YEARS AFTER THEY ACCRUE. Each party bears its own attorney's fees except Section 14 defense obligations and awards required by nonwaivable law. Mandatory rights remain.

16. Changes

Material changes receive 30 days' owner email notice; urgent legal/security changes receive prompt notice. Cancel beforehand or continued use accepts prospective changes. Required/new-use consent is separate; existing disputes are unaffected. Section 4 governs prices.

17. General and contact

These Terms/DPA/signed orders form the agreement; DPA controls data protection, orders commercial specifics. We may assign to an assuming successor, subject to Google consent rules; customer assignment needs consent. Force majeure excuses delay, excluding payment/data duties. Invalid provisions are severable; waivers written. No agency/third-party beneficiary. Keep email current for electronic notices.
